Real Estate Matters


The Real Estate Group is co-led by partners Dan Seubert and Rachel Rosati Warner. We represent developers, family partnerships, investors, owners, tenants, landlords, borrowers and lenders in real estate transactions, including purchases, sales, property exchanges, real estate financings, leasing, subleasing, ground leasing, development, construction, design agreements, consultant agreements, brokerage issues, estoppel certificates, subordination agreements, reciprocal easement agreements, CC&Rs, entity formation, joint ventures, and related real estate services. Our services include counseling, negotiation and drafting of contracts, review of title documents, negotiation of title insurance coverage, and coordinating closings.

Dispute Resolution


We work in close partnership with our clients to identify and implement the most appropriate legal strategy to obtain the best business-oriented solution. Sometimes this requires vigorously litigating the case. Other times, mediation or litigation avoidance strategies make the most sense. Regardless, because we are accomplished business litigators with extensive big law firm experience, we know what is the right thing to do and the right time to do it. Far too much work is done because attorneys lack the confidence and experience to advise that not every possible deposition should be taken and that not every possible argument should be made. Unlike too many litigators, we know that you don’t reach legal and business success by boiling the ocean to get a cup of tea.

We litigate on behalf of large, multinational companies as well as emerging companies, entrepreneurs, investors and business owners in a variety of disputes of all types and sizes. When possible, cases are staffed with just one or two attorneys. However, when necessary, we access our ongoing consulting relationships with a number of outstanding attorneys with big law firm experience and training to assist us as needed — all at significant cost savings to the client.

We represent companies of all sizes and types, including entrepreneurs, investors, business owners and techologists in complex commercial, intellectual property, speech-related and real estate litigation. We apply our extensive experience to cases involving the breach of a wide range of commercial and technology agreements, intellectual property issues, trade secrets, proprietary rights issues, web-based issues, social networks and speech-related claims – including defamation and commercial disparagement. We also litigate business-related torts, unfair business practice matters, breach of fiduciary duty obligations, and lease and other real estate disputes. We also are active in advising clients with regard to matters of risk assessment and litigation avoidance.
